01About these terms
These terms govern your use of itsxassure.com and itsxcommercial.com (the "websites"). By using either website you accept these terms. If you don't agree, please don't use the websites.
The websites are operated by ITSX LTD, trading as ITSX Assure and ITSX Commercial ("ITSX", "we", "us"). We are a company registered in England and Wales under company number 12953882. Our registered office is 13th Floor, Piccadilly Plaza, Manchester, M1 4BT, United Kingdom. You can contact us at hello@itsxassure.com.
The websites are for business use. These terms don't cover advisory, consulting or managed services work. A separate written agreement governs any engagement with us, and that agreement takes precedence over these terms.
02Intellectual property
We, or our licensors, own all intellectual property rights in the websites and their content. This includes text, graphics, page designs, code and downloadable materials, and our proprietary advisory methodologies, frameworks, assessment models and tools as described on the websites.
The names and logos ITSX, ITSX Assure, ITSX Commercial and Mycroft, and associated branding, are trade names or trade marks of ITSX LTD, whether registered or not. You may not use them without our prior written permission.
Vendor, partner, certification and customer names and logos shown on the websites belong to their respective owners. We show them for identification only, and showing them doesn't imply that those owners endorse us.
You may view and print pages for your own internal business reference, provided you keep any copyright notices. You must not copy, reproduce, republish, adapt or commercially exploit any part of the websites without our written permission.
03Permitted and prohibited use
You may use the websites only for lawful purposes and in line with these terms. You must not:
- scrape, harvest, crawl or extract content or data from the websites by automated means, including for training machine-learning or AI models, without our written permission
- probe, scan or test the vulnerability of the websites or the systems behind them, or try to bypass any security or access control. If you believe you have found a security issue, please report it responsibly to hello@itsxassure.com.
- interfere with or disrupt the websites, including through denial-of-service attacks or excessive automated requests
- introduce viruses, malware or other harmful material
- misuse the contact forms: no spam, bulk or automated submissions, no unlawful, abusive or misleading content, and no impersonating another person or organisation
- use the websites in any way that breaks applicable law, or infringes the rights of ITSX or anyone else
We may suspend or restrict access to the websites, or block submissions, if we reasonably believe these terms have been broken.
04No professional advice
Content on the websites is general information about our services, technology markets, licensing, procurement and commercial optimisation. It is not professional, legal, financial or licensing advice, and you shouldn't rely on it as such.
Any figures on the websites, including savings, percentages, case studies and results, describe previous or typical outcomes. They don't guarantee the results your organisation will achieve. Software licensing rules and vendor terms change often.
Professional advice is given only under a formal engagement with us, and depends on the facts of your organisation.
05Accuracy, availability and links
We take reasonable care to keep the websites accurate and up to date, but we don't promise that the content is complete, current or free of errors. We may change or remove content at any time without notice.
We don't guarantee that the websites will always be available or free from interruption, errors or viruses. You are responsible for your own virus protection.
Links to third-party websites are for convenience only. We have no control over those sites and accept no responsibility for them.
06Limitation of liability
Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that English law doesn't allow us to exclude or limit.
Subject to that, and to the fullest extent the law allows:
- we exclude all conditions, warranties and representations, whether express or implied, that might otherwise apply to the websites or their content
- we are not liable, whether in contract, tort (including negligence), breach of statutory duty or otherwise, for any loss or damage arising from your use of, or inability to use, the websites, or from relying on their content
- in particular, we are not liable for loss of profits, revenue, business, savings, contracts, goodwill or data, or for any indirect or consequential loss
The written agreement for each engagement sets out our liability for advisory or managed services.
07Your information
We use personal data you send through the websites as described in our Privacy Policy.
08Changes and general terms
We may revise these terms at any time by updating this page. The date at the top shows when they last changed. Please check the terms each time you use the websites.
If any provision of these terms is found invalid or unenforceable, the other provisions still apply. If we don't enforce a right straight away, we haven't waived it.
09Governing law and jurisdiction
These terms, and any dispute or claim arising out of or in connection with them or the websites (including non-contractual disputes or claims), are governed by the law of England and Wales.
The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim.
